  • Service: Refers to the drawer.ai website, applications, AI models, and all related tools, features, and content provided by Drawer Inc.

You agree not to use the Service: * In any way that violates any applicable national, state, local, or international law or regulation. * For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise. * To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation. * To impersonate or attempt to impersonate Drawer Inc., a Drawer Inc. employee, another user, or any other person or entity. * To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Drawer Inc. or users of the Service or expose them to liability.

4.2. Prohibited Conduct: You agree not to: * Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service. * Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service. * Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent. * Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. * Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service. * Attack the Service via a denial-of-service attack or a distributed denial-of-service attack. * Otherwise attempt to interfere with the proper working of the Service.

5. Intellectual Property Rights

5.1. Service Content: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Drawer Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Drawer Inc.

5.2. User Content: You retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights. By posting Content on or through the Service, you grant Drawer Inc. a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such Content in connection with the operation of the Service.

5.3. AI Generated Content: Any output generated by the AI models within the Service based on your input will be owned by you, subject to any underlying rights in your input content and the rights granted to Drawer Inc. as per Section 5.2. You are solely responsible for ensuring that your use of AI-generated content complies with all applicable laws and does not infringe on the intellectual property rights of any third party.

6. Subscriptions, Billing, and Fees

6.1. Subscription Services: Certain parts of the Service are offered on a subscription basis ("Subscription(s)"). Subscriptions are billed in advance on a recurring and periodic basis ("Billing Cycle"), which may be monthly or annually, depending on your chosen plan.

6.2. Automatic Renewal: Your Subscription will automatically renew at the end of each Billing Cycle unless canceled by you or Drawer Inc. You can manage and cancel your Subscription renewal through your account management page or by contacting Drawer Inc. customer support.

6.3. Payment Information: A valid payment method (e.g., credit card, PayPal) is required for Subscription payments. You agree to provide accurate and complete billing information. By submitting payment information, you authorize Drawer Inc. to charge all Subscription fees incurred through your account to the provided payment instrument.

6.4. Failed Payments: If automatic billing fails for any reason, Drawer Inc. will issue an electronic invoice, and you must manually complete the payment within the specified deadline.

6.5. Free Trials: Drawer Inc. may offer a Free Trial for a limited period. If billing information is provided during the Free Trial signup, you will not be charged until the trial expires. Unless you cancel your Subscription before the Free Trial ends, you will be automatically charged the applicable Subscription fees. Drawer Inc. reserves the right to modify or cancel Free Trial offers at any time without notice.

7. Data Privacy

Our collection and use of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully to understand our practices regarding your data.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Drawer Inc. Drawer Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Drawer Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. NEITHER DRAWER INC. NOR ANY PERSON ASSOCIATED WITH DRAWER INC. MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER DRAWER INC. NOR ANYONE ASSOCIATED WITH DRAWER INC. REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DRAWER INC., ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Drawer Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

12. Governing Law and Jurisdiction

All matters relating to the Service and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal or state courts located in Travis County, Texas, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Severability and Waiver

Waiver: No waiver by Drawer Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Drawer Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Drawer Inc. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

15. Changes to the Terms and Conditions

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
